Seagate Technology and Toshiba are in a reported multibillion-dollar bidding contest to acquire TDK's hard disk drive magnetic head business, a deal that could reshape how the global storage supply chain is controlled.
TDK is the world's only independent supplier of HDD magnetic heads — the components that write and retrieve data on a spinning disk — and currently supplies all three major drive makers: Seagate, Western Digital, and Toshiba. Toshiba depends on TDK entirely for these parts, while Seagate and Western Digital produce heads internally and supplement with TDK purchases when demand spikes. Toshiba reportedly opened talks with TDK in spring 2026; Seagate followed with a higher offer over the summer. All three companies have declined to comment, and the deal remains under negotiation.
The stakes are significant. If Seagate wins, Toshiba's ability to manufacture drives independently would depend on supply from a direct competitor. TrendForce puts Western Digital at 48% of the global HDD market in 2026, Seagate at 42%, and Toshiba at 10%. HDD prices have been rising and storage demand from data centers continues to grow. Any deal would also face likely antitrust review, as regulators increasingly treat data center storage capacity as strategically important.
Organizations planning significant storage procurement over the next 12 to 24 months — particularly those buying Toshiba drives — may want to monitor how this situation develops, as a change in ownership of this supply chain component could affect pricing and product availability.
