1. Service Description

VenSearch is a vendor-neutral technology advisory and procurement platform. We provide AI-powered search, vendor profiles, technology category research, and optional advisory services to help businesses make informed technology decisions. The Platform serves businesses evaluating technology solutions, vendors presenting their offerings, and channel partners participating in referral programs.

2. User Accounts

Some features are available without an account; others require one. To create an account you must be at least 18 years old and provide a valid email address. You are responsible for keeping your password secure and for all activity under your account, and you agree to provide accurate information and to notify us immediately if you suspect unauthorized access.

We may suspend or close accounts that violate these Terms or engage in fraudulent, abusive, or harmful activity.

3. Organization Profiles & Teams

Vendors and channel partners can have an organization profile on the Platform, managed by a team of Owners and Editors:

• Authority. By managing an organization's profile, you confirm that you are authorized to act on that organization's behalf.
• Roles. VenSearch assigns each organization's first Owner. Owners can invite people, manage the team, and edit the profile; Editors can edit the profile, offerings, posts, and documents. Only VenSearch can remove or change an Owner.
• Invitations. Nobody is added to a team without accepting an invitation. Only invite people you know and who expect to hear from you; invitations may not be used to send unsolicited messages.
• Content. Posts, offerings, and documents you add for an organization belong to that organization and are shown as published by the organization. They remain on its profile if you leave or are removed from the team.
• Leaving. You can leave a team at any time unless you are its only Owner. Leaving or being removed ends your access to that organization's profile but does not affect your own VenSearch account.
• Activity log. Changes to an organization's profile and team are recorded in an activity log visible to VenSearch.

4. AI-Generated Content

The Platform uses artificial intelligence to generate search results, vendor comparisons, and technology insights. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies.

AI-generated results are provided for informational purposes only and do not constitute professional advice. You should independently verify any information before making business or purchasing decisions. VenSearch is not liable for decisions made based on AI-generated content.

5. Vendor Information

Vendor profiles are compiled by VenSearch from publicly available information, AI-assisted research, and information provided by vendors. VenSearch maintains editorial control over profiles, including how vendors are described and compared, and may edit or decline vendor-submitted content. We do not independently verify all vendor information.

VenSearch does not endorse, guarantee, or warrant any vendor, product, or service listed on the Platform. Inclusion on the Platform does not imply a recommendation. You are responsible for conducting your own due diligence before engaging any vendor.

6. Advisory Services

VenSearch offers optional advisory, procurement, and negotiation services at no cost to the buyer. These services are provided on a best-effort basis. Our advisors provide guidance and recommendations, but the final decision to purchase or contract with any vendor rests entirely with you. When you request help, you authorize us to share the details needed with the vendors and distribution partners we contact on your behalf, as described in our Privacy Policy.

VenSearch may receive compensation from vendors or channel partners as part of its business model. This compensation does not influence the neutrality of our advisory recommendations.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Platform, another user's account, or another organization's profile
• Scrape, crawl, or use automated tools to extract data from the Platform without written permission
• Submit false, misleading, or fraudulent information, or impersonate any person or organization
• Artificially inflate or manipulate search results, profile views, or other analytics
• Use invitations or other Platform features to send spam or unsolicited messages
• Interfere with the Platform's operation or security
• Use AI-generated content to misrepresent the source or accuracy of information

8. Intellectual Property

All content, design, and technology on the Platform — including text, graphics, logos, and software — are the property of VenSearch LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any Platform content without our written consent.

Content submitted by a vendor remains the property of that vendor. By submitting content to the Platform, the vendor grants VenSearch a non-exclusive, royalty-free license to display, edit for format and length, and distribute that content on the Platform and in VenSearch's related communications.

9. Limitation of Liability

To the fullest extent permitted by law, VenSearch LLC, its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

• Errors or inaccuracies in AI-generated content
• Inaccuracies in vendor profiles or vendor-supplied information
• Business decisions made based on Platform content or advisory guidance
• Service interruptions or data loss
• Actions or omissions of any vendor listed on the Platform

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, or non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless VenSearch LLC and its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third party's rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Georgia.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Platform and update the “Last Updated” date. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
